Confidentiality Policy

Purpose

This Policy establishes minimum standards for protecting non-public information received, created, stored, discussed or exchanged through Trade Base Hub. It supports confidentiality provisions in the Terms of Service and transaction documents, including NCNDAs, CIS/KYC packs, fee agreements, IMFPAs, mandates, Letters of Representation, Deal Summaries, Proof of Funds submissions and dispute records.

Scope

This Policy applies to users, clients, principals, authorised representatives, intermediaries, consultants, service clients, personnel, contractors and anyone given access to confidential information through the website, Whop, Discord, private deal rooms, email or another approved channel.

Confidential information

Confidential Information includes non-public transaction structures and terms; opportunity codes; identities and contacts; introductions; agreements; pricing, commissions and fee waterfalls; CIS/KYC and beneficial-ownership records; identification; POF/POP and bank or payment information; mandates; corporate records; due-diligence findings; disputes; internal risk assessments; and non-public communications.

• Information is ordinarily excluded if the recipient can demonstrate it was lawfully public without breach, already lawfully known without restriction, independently developed without use of the confidential material, or lawfully obtained from a person entitled to disclose it.

Core confidentiality obligations

Use Confidential Information only for its legitimate supplied purpose; disclose it only to authorised persons with a genuine need to know; apply reasonable safeguards; and do not copy, forward, download, publish, sell, exploit or reuse it for an unrelated transaction without authority. Platform access does not confer ownership or unrestricted rights. Protected introductions must not be bypassed or circumvented where an NCNDA or other agreement applies.

Transaction-specific agreements

If an executed NCNDA, confidentiality agreement, services agreement or other written instrument imposes stricter obligations, the stricter transaction-specific terms govern that information. This Policy does not replace or reduce contractual confidentiality or non-circumvention duties.

CIS/KYC and sensitive transaction material

Identity records, ownership information, authority evidence, POF/POP, bank-related records, screening results and internal risk assessments are restricted and must be handled on a need-to-know basis, never in public channels. Do not submit passwords, PINs, one-time codes, online-banking credentials, private cryptographic keys or authentication secrets.

Approved disclosures

Disclosure may occur where authorised by the disclosing party, reasonably necessary to deliver an agreed service or workflow, made to advisers or service providers under appropriate confidentiality expectations, or required by applicable law, lawful process, court order, regulator or competent authority. Where lawful and practicable, disclosure should be limited to what is necessary.

Platform and channel controls

Public website pages and public or community Discord channels must not be used for confidential transaction documents or personal KYC information. Use designated private channels, private deal rooms, approved submission mechanisms or other controlled methods. Verify recipients and secure your own accounts and devices.

Third-party platforms

Whop, Discord, email, hosting, payment providers and other third parties may process or transmit information independently. Trade Base Hub cannot guarantee their security or confidentiality and is not responsible for independent acts or omissions beyond obligations that cannot lawfully be excluded.

Recordings, screenshots and reproduction

Do not record private meetings, distribute screenshots of private channels, reproduce confidential documents or circulate private correspondence unless authorised, reasonably necessary or legally permitted. This does not prevent reasonable record retention to protect legitimate legal rights.

Incident reporting

Promptly report suspected loss, unauthorised disclosure, misdirection, account compromise or misuse to admin@tradebasehub.net. Preserve relevant evidence and avoid further dissemination while the matter is assessed.

Breach response

Trade Base Hub may restrict or suspend access, isolate channels, request return or deletion, preserve records, conduct an internal review, notify affected parties where appropriate, terminate services or refer a matter for legal or regulatory review. An allegation is not itself a finding of wrongdoing.

Return, deletion and retention

Recipients may be required to return or delete Confidential Information where reasonably practicable. Copies may nevertheless be retained for legal obligations, compliance records, backups, dispute resolution, fraud prevention, enforcement or legal claims.

No warranty or verification

Confidential treatment does not mean Trade Base Hub has verified or endorsed accuracy, authenticity, legality, solvency, authority or commercial value. Each party remains responsible for its own due diligence and advice.

Survival

Obligations continue for the period stated in the applicable agreement. If no period is stated, they continue while the information remains confidential, subject to applicable law and any later written agreement.

This policy is a commercial risk-management document for Trade Base Hub and does not constitute legal advice. Mandatory law may apply differently according to the location of Trade Base Hub, the user, the service and the transaction. Nothing in this policy excludes or limits rights, duties or liabilities that cannot lawfully be excluded or limited.
