Terms of Service

Acceptance and definitions

These Terms govern access to and use of the Trade Base Hub platform, website, services, materials, documentation, tools and related offerings (the Platform). By accessing, registering for or using the Platform, you confirm that you have read, understood and agreed to these Terms. If you do not agree, do not use the Platform.

• Platform Owner means Trade Base Hub and its owners, operators, affiliates, officers, agents and assigns.
• User means any individual or entity accessing or using the Platform.
• Content includes documents, templates, text, graphics, tools, guidance and training materials.
• Services include Platform access, documentation, templates, guidance, training and support, whether free or paid.

Platform purpose and no reliance

The Platform provides general informational, educational and administrative resources relating to commercial transactions, documentation practices and professional processes. It does not provide legal, financial, investment, regulatory or compliance advice; act as a broker, agent, intermediary, fiduciary, trustee or representative; or guarantee outcomes, enforceability, funding, transactions or deal success. Obtain independent legal, financial, tax, regulatory and professional advice before acting.

Eligibility and user representations

By using the Platform, you represent that you are at least 18 and legally capable of contracting; have authority to bind any entity you represent; will provide accurate, current and non-misleading information; and will comply with applicable law. Access may be suspended or terminated if these representations are breached.

No agency, partnership or joint venture

Nothing in these Terms or on the Platform creates a partnership, joint venture, agency relationship, fiduciary duty or brokerage role. Trade Base Hub does not acquire authority to bind a user or principal unless expressly agreed in a separate written instrument.

Third-party interactions

Interactions, communications, agreements and transactions between users or third parties are between those parties. Trade Base Hub is not a party to their agreements, does not guarantee claims, credentials, assets, authority or representations, and accepts no responsibility for third-party disputes, losses or failures except where liability cannot lawfully be excluded.

Documents, templates and content

Templates, sample documents and guidance are generic and may not be suitable or enforceable in a particular jurisdiction. They must be independently reviewed and adapted by qualified professionals. Use is at the user’s risk.

Limitation of liability

To the maximum extent permitted by law, the Platform Owner is not liable for indirect, incidental, consequential or special damages; loss of profits, business, opportunity, data, reputation or goodwill; contractual failures, disputes or non-performance; or regulatory, compliance or legal consequences. Total aggregate liability, if any, will not exceed the fees paid to the Platform Owner in the preceding 12 months or USD 100, whichever is lower.

Indemnification

You agree to indemnify and hold harmless the Platform Owner from claims, losses, damages, costs, liabilities or expenses, including reasonable legal fees, arising from your use or misuse of the Platform, reliance on Content or Services, dealings with third parties, or breach of these Terms or applicable law.

No warranties

The Platform is provided “as is” and “as available”, without express or implied warranties of accuracy, completeness, merchantability, fitness for a particular purpose, non-infringement, availability or uptime, to the maximum extent permitted by law.

Suspension and termination

Trade Base Hub may suspend or terminate access where these Terms are breached, material risk or misuse is identified, or law requires it. Refund rights on termination are governed by the Returns and Refund Policy and any non-waivable statutory rights.

Intellectual property

Platform Content is owned by or licensed to Trade Base Hub. Users may not reproduce, distribute, modify or commercialise it without written permission.

Confidentiality

Non-public information received through the Platform must be treated as confidential and not disclosed without authorisation, except where disclosure is required by law. The Confidentiality Policy and any transaction-specific agreement also apply.

Governing law and jurisdiction

These Terms are governed by the laws of England and Wales, excluding conflict-of-law principles. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales, subject to any mandatory law that cannot be displaced.

Severability

If a provision is found unenforceable, the remaining provisions remain in force.

Amendments

Trade Base Hub may amend these Terms. The current version and effective date will be published on the website. Continued use after an amendment constitutes acceptance to the extent permitted by law.
