Structured commercial settlement and transaction protection
PROTECTION

Buyer protection

An appropriate escrow structure may help link release of buyer funds to agreed contractual or settlement conditions.

PROTECTION

Seller protection

A suitable structure may support confidence regarding committed funds and payment following satisfaction of agreed conditions.

PROTECTION

Fee and commission protection

A paymaster or settlement arrangement may support controlled distribution of fees documented in executed Fee Agreements, commission agreements or an IMFPA.

Clear distinctions

Three different functions. One coordinated settlement objective.

Fee Agreement / IMFPA

Defines contractual entitlement, allocations, conditions and the fee structure.

Escrow

Supports controlled transaction settlement against agreed release conditions.

Paymaster

Supports controlled receipt and distribution of funds where appropriate.

SETTLEMENT WITH STRUCTURE

Protect the transaction and the agreed commercial interests.

Practical scope and preparation guidance

Settlement roles and responsibilities

Identify buyer, seller, paying party and any independent escrow or paymaster provider. TBH prepares and coordinates within an agreed scope; it does not receive client funds or act as escrow or paymaster.

Readiness checklist

Resolve identity, authority, contract references, asset evidence, funds evidence and conditions before funds move. Allocate each outstanding check to a responsible party.

Independent provider questions

Confirm the provider’s legal identity, applicable authorisation, account arrangements, accepted instructions, fees, release conditions and dispute process through independent channels. A provider name or letterhead is insufficient.

Fee documentation and closure

Reconcile signed fee arrangements with settlement conditions and distribution instructions. Preserve completion evidence and records of any contractually due fees; documentation does not guarantee settlement.
