Broker Commissions and Fee Protection

Clarify commission entitlement, fee allocations, payment triggers, broker genealogy and the documents supporting an agreed commercial fee structure.

Introduction versus fee entitlement

An introduction may create an opportunity; the agreed commercial terms determine whether a fee is owed. Obtain a clear payment undertaking from the responsible party rather than rely on a chain of informal expectations.

Identify the paying party and beneficiaries

Record legal identities, roles and authority. Confirm whether each person is paid by a principal or receives a share from another fee holder.

Calculate and allocate fees

Specify the calculation base, currency, deductions, amount or percentage and distribution order. Check that individual allocations reconcile with the total fee.

Document genealogy

Map the introduction chain with dated records and an identified transaction reference. Resolve duplicated claims and undisclosed participants before final allocation.

Agree payment conditions

Define the settlement or performance conditions, completion evidence and distribution responsibility. Coordinate the agreed process with any independent provider without assuming that provider has accepted instructions.

Common documentation gaps

Review inconsistent references, unsigned schedules and unclear conditions. TBH affiliate earnings are separate: its approved product-referral terms do not establish a universal transaction-broker commission rate.

Build the fee record around the transaction

Begin with the particular opportunity and the work attributed to each participant. A useful fee record connects the introduction chain, the party responsible for payment and the event that establishes entitlement. Keep meeting attendance, claimed roles and signed obligations distinct.

Use a common opportunity reference across the deal summary, relevant confidentiality agreement, fee document and any distribution schedule. When there are competing claims, record what is asserted and what evidence exists; do not assume the longest broker chain or first email settles the allocation.

Check the calculation with an example

Suppose the parties agree an illustrative fee of 1% of a USD 1,000,000 transaction value. The fee pool is USD 10,000 on that stated base. If a participant receives 25% of the pool, its allocation is USD 2,500, rather than 25% of the transaction value.

Clarify whether the agreed base is gross value, a completed tranche, net receipts or another defined amount. Record deductions and the treatment of partial completion. These numbers are hypothetical arithmetic, not a recommended commission rate, TBH service price or the TBH affiliate programme.

Fee and genealogy checklist

Prepare a concise summary for review, keeping private payment records in the agreed controlled channel. The following questions help distinguish a documented arrangement from an informal expectation.

  • Who introduced whom, when, and for which opportunity?
  • Which party has accepted responsibility for each fee?
  • Is the calculation base, currency and recipient allocation unambiguous?
  • Which milestone establishes entitlement and when is payment due?
  • Are upstream, downstream and other known participants disclosed?
  • Do the agreement, annexures and completion records use consistent references?

From agreement to closure

Confirm who records the agreed milestone, reviews the allocation and coordinates payment instructions with any independent provider. Retain a record of approved changes so that the final distribution can be reconciled to the signed arrangement. Transmission records and receipt records answer different questions; do not treat them as interchangeable without checking the agreed responsibilities.

A genealogy declaration collects information and does not itself create a mandate, appointment or right to remuneration. Where support is needed, TBH can help prepare fee documentation or a scoped broker/consultant protection pack. Actual rights and payment conditions depend on the executed agreements.
